General Association Matters
10.1 Governing Law. These bylaws are for the operation and management of the Association. These bylaws shall be implemented and interpreted according to the provisions of the Uniform Unincorporated Nonprofit Association Act, being Chapter 7, Title 53, Idaho Code, and according to the common law of the State of Idaho.
10.2 Branch and Subordinate Offices. The officers or the Board of Directors may at any time establish branch or subordinate offices at any place or places where the Association is qualified to do business, and may change the location of any office of the Association to any place within or without the State of Idaho.
10.3 Association Seal. The Association seal shall have inscribed on it the name of the Association, the year of its organization, and the words "Association Seal, State of Idaho." Within these parameters, the board of directors shall have power to alter the appearance of the Association seal at any time by majority vote, and without approval of the membership.
10.4 Corporate Contracts and Instruments. Except as otherwise provided in these Bylaws, the Board of Directors may authorize any officer or officers, agent or agents, to enter into any contract or execute any instrument in the name of and on behalf of the Association, and such authority may be general or confined to specific instances; and, unless so authorized by the Board of Directors or within the agency power of an officer, no officer, agent or employee shall have any power or authority to bind the Association by any contract or engagement or to pledge its credit or to render it liable for any purpose or to any amount.
10.5 Inspection of Books and Records. Upon written demand stating the purpose of the examination, any member, by and through a representative thereof, shall have the right to examine in person, or by agent or attorney, the books of the Association and the records of accounts, minutes and members and to make copies thereof. Such examination may be made at any reasonable time and for any proper purpose. The right of a member to make such examination shall not be denied except in accordance with applicable law.
10.6 Inspection of Bylaws. The association shall maintain at its principle office the original or a copy of these Bylaws as amended to date, which shall be open to inspection by any member, upon written demand, at all reasonable times during usual business hours.
10.7 Inspection by Directors. Every Director shall have the absolute right at any reasonable time to inspect all books, records and documents of every kind and the physical properties of the association.
